
The much-awaited NSE IPO 2026 has opened to retail investors, giving the public a chance to own a stake in India's largest stock exchange. The IPO comes as investors closely watch the impact of regulatory changes and weaker derivatives trading volumes on the exchange's earnings.
The NSE IPO has a price band of ₹1,700 to ₹1,785 per share and is expected to raise around ₹22,569 crore at the upper end. The issue is entirely an Offer for Sale (OFS), meaning the proceeds will go to existing shareholders rather than the National Stock Exchange itself. The subscription window runs from September 17 to September 21, with listing expected on September 24.
For retail investors, the bigger question is not simply whether the NSE IPO can deliver listing gains. The key issue is whether the exchange's current valuation is justified by its earnings, market dominance, and future growth prospects.
NSE IPO valuation: What does the math show?
At the upper end of the price band, the NSE is being valued at around ₹4.42 lakh crore, or approximately $46 billion. Reuters reported that this valuation is significantly lower than levels discussed during earlier pre-IPO roadshows, reflecting investor concerns over derivatives volumes and regulatory changes.
The valuation also looks demanding when compared with several major global exchange operators. Recent market analysis has described NSE as one of the most highly valued exchange businesses globally on earnings multiples.
That premium valuation makes future earnings growth particularly important. If derivatives volumes remain under pressure, investors could face a situation where a strong business is still expensive relative to its growth rate.
How strong is NSE's business?
NSE's biggest strength is its dominant position in India's capital markets.
Based on the figures cited in the IPO analysis, the exchange held a 92.99% share of cash-market turnover, 99.79% of equity futures and 74.71% of equity-options premium turnover during FY2025-26.
Its recent financial performance also remains substantial. For the quarter ended June 2026, NSE reported operating revenue of approximately ₹4,560 crore and net profit of about ₹3,121 crore. Reuters reported that Q1 revenue rose 13% year-on-year, while net profit increased 6.7%.
This shows that the exchange continues to generate significant revenue and profit despite the slowdown in some derivatives activity.
Why options trading is the biggest concern
The biggest risk for the NSE IPO is its dependence on trading activity, particularly equity options.
Around 60% of NSE's FY2026 operating revenue came from options transactions, according to recent reporting. This creates a direct link between regulatory changes, trading volumes, and the company's earnings.
Options trading volumes have declined from their earlier peaks as regulators have introduced measures aimed at reducing excessive speculative activity and aligning market practices with broader regulatory standards.
Reuters reported that NSE's FY2026 revenue declined 3.1%, while profit fell 15.5%, highlighting the impact of weaker trading activity.
For investors, this is an important part of the IPO calculation: NSE has a highly profitable business, but a significant portion of that profitability remains connected to market volumes that can change rapidly.
NSE IPO: Strong business, but expensive valuation
The NSE IPO therefore presents two contrasting aspects.
On one side, the exchange has a dominant market position, strong profitability and a central role in India's growing capital-markets ecosystem.
On the other, the company faces regulatory risks, dependence on derivatives activity and a valuation that leaves less room for disappointment.
The company's management has also highlighted efforts to diversify revenue beyond equity derivatives. NSE has been expanding areas such as market data, new financial products and its GIFT City operations.
The success of these diversification efforts could become increasingly important if options trading remains subdued.
Should retail investors apply for the NSE IPO?
Retail investors essentially have two ways to participate.
The first is to bid during the IPO subscription period and hold the shares after allotment. The second is to wait for the stock to list and then assess its market price, earnings outlook, and valuation before buying in the secondary market.
The second approach also removes the uncertainty of IPO allotment, although it exposes investors to the prevailing market price after listing.
Investors should therefore avoid evaluating the NSE IPO solely based on the grey-market premium or expected listing gains. GMP is an unofficial market indicator and can change quickly; it does not guarantee the actual listing price. Recent reports have shown significant movement in NSE's reported GMP ahead of the issue.
