Tata Sons Chairman: Chandrasekaran Gets 5-Year Term Despite Noel Tata’s Opposition; What Happened in Board Vote

Posted on 17th Sep 2026 05:08 pm by rohit kumar

N Chandrasekaran will continue as Chairman of Tata Sons after the company's board approved his reappointment for another five-year term on Thursday, September 17. The decision comes just weeks after Chandrasekaran had said he would not seek another term and days after the Reserve Bank of India (RBI) rejected Tata Sons' application to surrender its Core Investment Company registration.

The board's decision puts leadership continuity back at the centre of the Tata Sons debate as the holding company prepares to take steps to comply with the RBI's listing requirements.

Noel Tata, Chairman of Tata Trusts, opposed Chandrasekaran's reappointment, but the resolution was approved by a majority of the board. Tata Sons subsequently said Chandrasekaran had agreed to reconsider his earlier decision after the board requested him to do so.

What happened at the Tata Sons board meeting?

The Tata Sons board met on Thursday amid two closely linked issues: the company's regulatory position following the RBI's decision and the future of its chairman.

According to Tata Sons' statement, Chandrasekaran reconsidered his earlier decision not to seek another term after a request from the board. The board then approved his reappointment as Executive Chairman for another five years by majority vote.

Noel Tata voted against the reappointment. Moneycontrol reported that he was the only director to vote against the resolution.

The decision means Chandrasekaran's current tenure, which ends on February 20, 2027, could be followed by another five-year term, taking his leadership of Tata Sons to 2032, subject to the required approval process.

Why did the board back Chandrasekaran despite Noel Tata's opposition?

The immediate backdrop is the RBI's decision on Tata Sons' regulatory status.

The central bank rejected Tata Sons' application to surrender its Core Investment Company registration, leaving the company subject to the regulatory framework that requires it to pursue a stock-market listing. Reuters reported that Tata Sons' standalone assets were ₹1.75 lakh crore as of March 2025, placing it within the regulatory framework applicable to large core investment companies.

Against that backdrop, reports indicate that board members saw continuity in leadership as important while Tata Sons navigates the listing process.

PTI reported that board members viewed leadership continuity as potentially reassuring for prospective investors ahead of a possible IPO.

However, Tata Sons has not announced a completed IPO timetable.

Is Tata Sons definitely going for an IPO?

The latest board statement needs to be read carefully.

Tata Sons said the board has resolved to initiate steps to comply with the applicable RBI guidelines and will seek guidance from the RBI, Tata Trusts and other stakeholders on the compliance requirements.

This is different from saying that the company has already approved a detailed IPO plan, issue size, timeline or listing date.

The RBI rejected Tata Sons' attempt to surrender its Core Investment Company registration on September 12, bringing the company closer to the listing requirement. Tata Sons had previously repaid more than ₹21,000 crore of debt as part of its efforts to avoid the regulatory obligation.

What is the RBI rule behind the Tata Sons listing issue?

Tata Sons is classified as a Core Investment Company under the RBI's regulatory framework for non-bank financial companies.

The rules require certain large companies in the upper layer of the NBFC framework to list. Tata Sons had sought to surrender its registration, which would have helped it avoid the listing requirement.

The RBI's rejection of that application has revived the possibility of a public listing of Tata Sons, which has remained privately held.

The development has already affected market sentiment around several listed Tata Group companies that hold stakes in Tata Sons. Reuters reported that shares of Tata Chemicals, Tata Motors and Tata Investment moved sharply following the RBI decision as investors assessed the potential implications of a Tata Sons listing.

Why is Noel Tata opposed to Chandrasekaran's reappointment?

The disagreement over Chandrasekaran's tenure predates the latest board meeting.

Tata Trusts, which collectively control about 66% of Tata Sons, have been involved in disagreements over succession, strategy and governance. Reuters reported that Chandrasekaran's earlier decision not to seek another term followed months of tensions with Tata Trusts.

Moneycontrol has reported that Noel Tata had previously opposed Chandrasekaran's proposed third term and continues to favour a leadership transition.

The latest board vote therefore represents a significant development in the leadership discussion, but it does not by itself settle the wider shareholder and governance issues.

What happens next to Chandrasekaran's appointment?

The board's decision is not necessarily the final procedural step.

Reports indicate that Chandrasekaran's reappointment will require ratification at the company's Annual General Meeting (AGM). Moneycontrol also reported that Noel Tata has recorded his dissent and that the issue could face further challenge.

Therefore, the immediate sequence is:

Tata Sons board approves Chandrasekaran's five-year reappointment.

Noel Tata records his opposition to the decision.

Chandrasekaran's appointment proceeds to the required shareholder approval process.

Tata Sons begins steps to comply with the RBI's applicable listing requirements.

The company will consult the RBI, Tata Trusts and other stakeholders on the listing-related compliance process.

Chandrasekaran's journey at Tata Sons

N Chandrasekaran became Chairman of Tata Sons in February 2017 after serving as CEO and Managing Director of Tata Consultancy Services.

In 2022, he was reappointed for a second five-year term, which is due to end on February 20, 2027.

In August 2026, Tata Sons said Chandrasekaran would not seek another term. The latest board decision reverses that position after the RBI's ruling changed the regulatory backdrop facing the holding company.

If the new term is ultimately approved through the required process, Chandrasekaran would continue as Tata Sons chairman until 2032.

What could a Tata Sons listing mean?

A potential Tata Sons listing would be a major development for India's capital markets because the holding company owns stakes across a large number of Tata Group businesses.

Reuters reported that Tata Sons owns stakes in 31 group companies and had standalone assets of ₹1.75 trillion as of March 2025.

A listing could provide a publicly determined valuation for Tata Sons and potentially affect the value of stakes held by shareholders, including listed Tata Group companies.

At the same time, the listing process could involve regulatory, shareholder and governance questions. The exact structure, timing and terms of any eventual public offering have not yet been announced.
