
Shares of PB Fintech, the parent company of Policybazaar, have come under intense selling pressure after the Insurance Regulatory and Development Authority of India (IRDAI) proposed sweeping changes to insurance distribution economics. The stock has fallen about 43% in four consecutive sessions, while brokerage firms have sharply reassessed their estimates for the company.
Bernstein has now slashed its target price for PB Fintech shares by 53%, reducing it from ₹2,310 to ₹1,085. However, the brokerage has retained its 'Outperform' rating, making it important to distinguish the sharp target-price cut from a formal bearish or 'Sell' recommendation.
At the latest reported close, PB Fintech shares ended at around ₹1,081, after losing 6.11% in Tuesday's session. The stock has declined approximately 43% across four consecutive sessions following the IRDAI proposal.
Why Are PB Fintech Shares Falling?
The sell-off was triggered by IRDAI's consultation paper proposing significant changes to the economics of insurance distribution.
The proposed framework includes product- and channel-specific commission caps, tighter expense-of-management limits and greater scrutiny of distributor remuneration. The regulator has said the reforms are aimed at improving cost efficiency, strengthening safeguards against mis-selling and enhancing value for policyholders.
For Policybazaar, the key concern is that lower commissions could directly pressure the take rates and unit economics of its insurance distribution business.
The proposed changes are particularly significant because PB Fintech operates a large digital insurance distribution platform whose economics are closely linked to commissions and distribution income. Analysts therefore expect the final rules to have a material bearing on revenue growth and profitability.
Bernstein Cuts PB Fintech Target Price to ₹1,085
Bernstein has reduced its PB Fintech target price from ₹2,310 to ₹1,085, a cut of approximately 53%.
Despite the steep reduction, Bernstein has retained its 'Outperform' rating. The brokerage said the proposed commission reductions are substantially more stringent than it had previously anticipated. It also noted that mitigation strategies are available, although their potential impact is difficult to quantify at this stage.
Bernstein continues to see a long-term growth and value-creation opportunity for PB Fintech, but considers the next 18 months a critical period, with outcomes depending significantly on how the regulatory proposals evolve and how the company adapts its business model.
What Could the IRDAI Commission Caps Mean for Policybazaar?
The proposed commission framework could force PB Fintech to reconsider the economics of some parts of its insurance distribution business.
Bernstein expects the company could potentially scale back certain segments of general insurance or shift greater focus towards life insurance, depending on the final commission structure.
The brokerage also expects pressure on the company's Point-of-Sale Person (POSP) business because lower commissions could make the existing economics less attractive.
Health insurance is another area where the impact could be significant. If distribution commissions fall materially, Policybazaar could explore other ways of capturing value from its customer base and insurance ecosystem.
One possible strategic direction is moving further into the insurance manufacturing or underwriting side of the business. PB Fintech CEO Yashish Dahiya has indicated that lower distribution commissions could make insurance manufacturing more attractive, although the company has stressed that greater regulatory clarity is required.
HSBC, Motilal Oswal Also Revise PB Fintech Views
Bernstein is not the only brokerage to reassess PB Fintech following the IRDAI proposal.
HSBC downgraded PB Fintech to 'Hold' from its earlier stance and cut its target price to ₹1,150 from ₹2,100.
Motilal Oswal, meanwhile, retained its 'Neutral' rating and set a target price of ₹1,150.
The differing brokerage ratings highlight the uncertainty surrounding the eventual financial impact of the proposed regulations.
What Has IRDAI Proposed?
IRDAI's consultation paper seeks to overhaul insurance distribution by introducing commission limits linked to factors such as the insurance product, distribution channel, policy size and effort involved in selling and servicing the policy.
The regulator has also proposed tighter expense-of-management limits for insurers. For life insurers, the proposed framework includes bringing company-level expenses down to 15% of gross direct premium income within two years and 12.5% within five years. For general insurers, IRDAI has proposed reducing the expense limit from 30% to 20% over five years.
The proposals also include measures relating to mis-selling, transparency in distributor remuneration, non-monetary incentives and compulsory bundling of insurance with loans.
Importantly, these are proposed regulatory changes and not yet final rules. The market impact could therefore change depending on the final framework adopted by IRDAI.
